1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of SemaQuote's voice-powered quoting platform, including our website, web application, mobile applications, and all related services (collectively, the "Service").

By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

If you do not agree to these Terms, you may not use the Service.

2. Description of Service

SemaQuote is a business management platform designed for contractors and service professionals. Our Service provides:

Voice-to-Quote: AI-powered voice recording that automatically generates professional quotes from spoken descriptions of jobs and materials.
Quote Management: Create, edit, send, and track quotes for your clients.
Invoice Generation: Convert accepted quotes to invoices and track payments.
Client Management: Store and manage client information and communication history.
Job Scheduling: Schedule and track jobs on an integrated calendar.
Mobile Access: Access your business data from our mobile applications.

3. Account Registration

To use the Service, you must:

Be at least 18 years of age
Provide accurate and complete registration information
Maintain the security of your account credentials
Promptly update your information if it changes
Accept responsibility for all activities under your account

You must notify us immediately of any unauthorized use of your account. We are not liable for any loss resulting from unauthorized access to your account.

4. Subscription Plans and Payment

4.1 Free Trial

We offer a free trial period for new users. During the trial, you have access to the full functionality of the Service. No credit card is required to start your trial.

4.2 Paid Subscriptions

After your trial ends, continued access requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis.

4.3 Price Changes

We may change subscription prices with 30 days notice. Price changes take effect at the start of your next billing cycle. Continued use after a price change constitutes acceptance of the new pricing.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You retain access to the Service until then.

5. Acceptable Use

You agree not to:

Use the Service for any illegal purpose or in violation of any laws
Upload or transmit viruses, malware, or other malicious code
Attempt to gain unauthorized access to the Service or other users' accounts
Interfere with or disrupt the Service or servers
Scrape, crawl, or use automated means to access the Service without permission
Impersonate any person or entity
Use the Service to send spam or unsolicited communications
Reverse engineer, decompile, or disassemble any part of the Service
Remove any copyright, trademark, or proprietary notices
Use the Service in any way that could damage our reputation

6. Your Content and Data

6.1 Ownership

You retain ownership of all content you create or upload to the Service, including quotes, invoices, client data, and voice recordings ("Your Content"). SemaQuote does not claim ownership of Your Content.

6.2 License to SemaQuote

You grant SemaQuote a limited, non-exclusive license to use, process, and store Your Content solely to provide the Service. This includes processing voice recordings through our AI systems to generate quotes.

6.3 Responsibility for Content

You are solely responsible for Your Content and ensuring it does not violate any third-party rights or applicable laws. You represent that you have all necessary rights to the content you upload.

7. AI-Generated Content

Our Service uses artificial intelligence to process voice recordings and generate quotes. You acknowledge and agree that:

Accuracy: AI-generated quotes are based on your voice input and may require review and editing. You are responsible for verifying accuracy before sending to clients.
Final Review: All quotes should be reviewed by you before sending. SemaQuote is not responsible for errors in AI-generated content that you approve and send.
Continuous Improvement: AI accuracy may vary and improves over time. We do not guarantee specific accuracy levels.

8. Intellectual Property

The Service, including its original content, features, and functionality, is owned by SemaQuote and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

9. Third-Party Services

The Service may integrate with or contain links to third-party services (payment processors, email providers, etc.). Your use of third-party services is subject to their respective terms and privacy policies. SemaQuote is not responsible for third-party services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEMAQUOTE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE.

Our total liability for any claims under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless SemaQuote and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the Service, Your Content, or violation of these Terms.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:

Your right to use the Service ceases immediately
You may request export of Your Content within 30 days
We may delete Your Content after 30 days
Provisions that should survive termination will remain in effect

14. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in San Francisco, California, in accordance with the American Arbitration Association rules.

You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.

15. Governing Law

These Terms shall be governed by the laws of the State of California, United States, without regard to conflict of law principles.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use after changes take effect constitutes acceptance of the modified Terms.

17. General Provisions

Entire Agreement: These Terms constitute the entire agreement between you and SemaQuote regarding the Service.
Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations freely.
